End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a binding agreement between you ("User" or "You") and Suraxon ("Company," "we," "us," or "our"). This Agreement governs your use of the Suraxon software applications, web dashboard, and related services (collectively, the "Software").

1. Acknowledgment and Acceptance

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.

2. Legal Use & Consent Requirements

Suraxon is designed exclusively for ethical and legal monitoring. By using this Software, you explicitly agree that you will only install it on devices that:

• You own, or you have explicit, legally valid, and written consent from the device owner to monitor.
• Belong to your minor children for whom you are the legal guardian.
• Belong to your employees in a company-owned device context, provided they have been notified of the monitoring in compliance with local labor laws.

You acknowledge that using the Software for illegal surveillance, stalking, or spying on individuals without their explicit consent is strictly prohibited and may result in severe civil and criminal penalties. Suraxon is not liable for your misuse of the Software.

3. License Grant

Subject to your compliance with this Agreement and payment of applicable subscription fees, Suraxon grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software strictly in accordance with its intended purpose.

4. Restrictions

You agree not to, and you will not permit others to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
• Modify, adapt, or create derivative works from the Software.
• Rent, lease, lend, sell, or sublicense the Software to any third party.
• Use the Software for any illegal, unauthorized, or unethical purpose.
• Bypass, disable, or circumvent any security features or licensing mechanisms of the Software.

5. Data Privacy & Security

We respect your privacy and the privacy of the monitored devices. All data captured by the Software is transmitted securely and encrypted on our servers. We do not access, sell, or share the monitored data with third parties. You are solely responsible for keeping your dashboard credentials secure.

6. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Suraxon if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and delete it from all devices.

Suraxon reserves the right to suspend or terminate your account immediately if we receive a valid complaint regarding illegal or unauthorized monitoring.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SURAXON DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SURAXON, ITS AFFILIATES, OR ITS DEVELOPERS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE.

9. Changes to this Agreement

We reserve the right to modify this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Software after those revisions become effective, you agree to be bound by the revised Agreement.
